1. Proposal Validity

This proposal is valid for a period of 30 days from the date of submission. After this period, it may require a revised estimate.

2. Scope of Work

The deliverables outlined in the provided proposal define the scope of the project. Any additional features or changes requested beyond the defined scope will be considered a Change Request and may be subject to additional charges and revised timelines.

3. Timeline

The proposed timeline is an estimate and is dependent on timely feedback, approvals, and data sharing from the client. Delays in communication may impact the final delivery date.

4. Our Expectation / Requirement Gathering 

The client agrees to provide all necessary content, data, access credentials, branding materials, and other relevant inputs required for project execution in a timely manner.

5. Payment Terms

  • Payment schedule as per the defined milestone in the provided proposal document.
  • Payments are non-refundable once the respective phase of work has commenced.
  • Payment of the advance / first invoice is an acceptance of these terms and conditions.
  • Payment is due within 1 week of receipt of the invoice.

6.Right to Withhold Services

We reserve the right to withhold any further services or deliveries until all outstanding invoices are settled.

7. Suspension of Services

If the invoice remains unpaid for a period of 2 weeks beyond the due date, we reserve the right to suspend or terminate the provision of our services until full payment is received.

8. Collection Costs

The client shall be responsible for all reasonable costs and expenses incurred in the collection of overdue payments, including but not limited to collection agency fees and attorney’s fees.

9. Interest

Unpaid amounts shall accrue interest at the rate of 36% per annum, calculated daily and compounded monthly, from the due date until the outstanding balance is settled in full.

10. Intellectual Property

  • All custom code, designs, and intellectual property developed specifically for this project will be transferred to the client upon full payment.
  • Third-party tools or licensed content will remain the property of their respective owners.

11. Maintenance & Support

Post-deployment support is not included unless specifically mentioned. Ongoing maintenance can be provided under a separate maintenance agreement.

12. Browser and Application Compatibility

  • The developed website/application will be tested for compatibility with the latest stable versions of commonly used web browsers, including Google Chrome, Mozilla Firefox, Microsoft Edge, and Safari. Mobile compatibility will be ensured for the latest versions of Android and iOS using standard device resolutions.
  • Compatibility with outdated or obsolete/older browser versions or custom environments is not guaranteed unless explicitly agreed upon in writing. Any additional compatibility requirements may be treated as a change request and subject to separate estimation and approval.

13. Confidentiality

Both parties agree to maintain confidentiality regarding all proprietary information and not disclose any confidential details to third parties without prior written consent.

14. Termination

Either party may terminate the agreement with a 2 calendar weeks written notice. Work completed up to the termination date will be billed accordingly.

15. Limitation of Liability

We are not liable for any indirect or consequential losses arising from the use or inability to use the final product, including data loss or business interruption.

16. Acceptance

By approving the provided proposal, the client agrees to the terms and conditions outlined herein.

17. Applicable Law

This Agreement shall be governed by and construed in accordance with the  International Business Law.

If the client disputes an invoice, the client shall promptly provide written notice within 1 week to the service provider detailing the reasons for the dispute. The parties shall work together in good faith to resolve any disputes within 1 week.

19. Credit Reporting

Non-payment may be reported to credit bureaus, which could negatively impact the client’s credit score.

20. Legal Fees

In the event of a dispute resulting in legal action, the successful Party will be entitled to its legal fees, including, but not limited to its attorneys’ fees.
